Draft for review. This was written to describe how Label Logic actually works, but it has not been reviewed by a lawyer. Have one read it before you rely on it.
Who you are agreeing with
Label Logic is made by Meridian Technologies. When this page says "we", it means Meridian Technologies. When it says "you", it means the business that holds the account.
What the service is
Label Logic is software for pricing and tagging retail stock. You build a pricing structure, your staff work through it on a tablet, and the app prints tags carrying a barcode your point-of-sale system can read.
The app runs on hardware you buy and own. We do not sell, supply or support tablets, printers or label stock, and we are not responsible for them.
Your account
You are responsible for who you give access to. That includes keeping admin PINs private, removing staff who leave, and unpairing devices that go missing. Anything done under your account is treated as done by you.
You must be authorized to enter into this agreement on behalf of your business.
What you pay
Label Logic is billed monthly, per tablet, in advance. You choose the number of tablets at signup and can change it at any time.
- Adding tablets increases your bill from the next invoice.
- Removing tablets reduces it from the next invoice.
- Payments are handled by Stripe. We never see or store your card details.
- Sales tax is added where we are required to collect it.
Cancelling
You can cancel at any time. Your account keeps working until the end of the period you have already paid for, and is not renewed after that.
Refunds
We do not refund part-months. If you cancel mid-cycle you keep access until that cycle ends. If you believe you have been charged in error, write to us and we will look at it properly.
Price changes
We may change the price. If we do, you get at least 30 days' notice by email before it affects you, and you are free to cancel in that time.
Failed payments
If a payment fails we will retry and email you. If it stays unpaid we may suspend the account. Suspension does not delete your data — see below.
Your data belongs to you
Your pricing structure, production history and staff records are yours. We store and process them so the software works, and for nothing else. We do not sell them and we do not use them to advertise to anyone.
You can export your data while your account is active. After cancellation we keep it for 90 days so you can change your mind, then delete it. Ask us sooner and we will delete it sooner.

Fair use
Don't resell the service, don't try to break into other accounts, don't attack the system, and don't use it for anything illegal. If you do, we may suspend the account.
What we promise, and what we don't
We work to keep the service running and available, but we do not promise it will be uninterrupted or error-free. Anything that depends on the internet sometimes will not be there.
The app is built to keep working when the connection does not. Staff can sign in, tag items and print through an outage, and the work syncs when the connection returns. That is deliberate. It is not a guarantee that nothing can ever go wrong.
The service is provided "as is". We do not warrant that it will fit any particular purpose beyond what is described on this site.
Limits on liability
To the extent the law allows, our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim.
We are not liable for lost profits, lost sales, or indirect or consequential losses.
Nothing here limits liability that cannot legally be limited.
Ending the agreement
You can cancel whenever you like. We may end an account that breaches these terms, or that has gone unpaid, after telling you and giving you a reasonable chance to fix it.
Changes to these terms
We may update these terms. If a change materially affects you we will email you at least 30 days beforehand. Carrying on using the service after that means you accept the new terms.
Governing law
Needs your input. This should name the state whose law governs and where disputes are heard — normally where the business is registered. Tell us the state and we will complete it.
